Assistant Company Secretary & Compliance Officer 8/24/2021

A vacancy has arisen for the post of Assistant Company Secretary & Compliance Officer within the Farsons Group. Reporting to the Company Secretary, the selected candidate will be responsible for ensuring that the Group complies with the requirements related to the Companies Act, the Capital Market Rules and the Market Abuse Regulations among others. 

The selected candidate will be required to:

  • Schedule, organise and support meetings of the Board and Committees, draft board and committee minutes of the subsidiary companies of the Group, resolutions and arrange follow-up actions;
  • Provide support to board committees as directed by the Company Secretary, and monitor compliance with terms of reference;
  • Support the preparation of the Annual Report and year-end processes as well as all required company announcements;
  • Prepare and manage the annual general meetings of the parent company and subsidiaries;
  • Prepare and file routine MFSA, MBR  and other related documents;
  • Oversee statutory administration including maintenance of shareholder and bondholder registers in liaison with The Malta Stock Exchange;
  • Support Good Governance within the Group, monitor Good Governance developments and provide guidance to stakeholders’;
  • Manage the portfolio of the Group’s trademarks;
  • Coordinate the Group’s document management policy and procedures;
  • Ensure compliance with the legislative and regulatory framework including the appropriate upkeep of registers required for other governance and compliance purposes;
  • Support the Group’s Foundation and Welfare Fund.

The selected candidate will:

  • Be a qualified lawyer;
  • Preferably have at least 3 years’ experience working for a listed company in a similar role;
  • Good working knowledge of the Companies Act, the Capital Market Rules, the Market Abuse Regulations and related legislation;
  • Display strong IT, analytical, problem solving and communication skills;
  • Have experience of taking and writing minutes and preparing meeting packs;
  • Be self-motivated, high level of planning and organization, show initiative and capable to work independently within challenging environments, while practicing high ethical standards at all times;
  • Possess strong interpersonal skills, with experience of dealing with senior internal and external contacts, and good stakeholder management;
  • Be able to influence and motivate team members to meet agreed and stringent deadlines.
