COMPANY ANNOUNCEMENT: €20,000,000 3.50% Simonds Farsons Cisk plc Unsecured Bonds 2017-2027 9/13/2017

The following is a Company Announcement by Simonds Farsons Cisk plc pursuant to Listing Rule 5.16.12 of the Malta Financial Services Authority Listing Rules.

€20,000,000 3.50% Simonds Farsons Cisk plc Unsecured Bonds 2017-2027

Simonds Farsons Cisk plc (the “Company”) is pleased to announce the basis of acceptance for the €20,000,000 3.50% Unsecured Bonds 2027 (the “New SFC Bonds”).

In terms of the Prospectus dated 31 July 2017 (the “Prospectus”), the New SFC Bonds were available for subscription by holders of the 6% Simonds Farsons Cisk plc 2017-2020 (ISIN: MT0000071226) (the “Maturing Bonds”) and selected Authorised Financial Intermediaries through an Intermediaries’ Offer.

The Company received a total of 3,215 applications for an aggregate value of €49,271,600 from holders of €12,167,300 (81%) of Maturing Bonds. Such holders were given a guaranteed allocation on subscription to the New SFC Bonds by surrendering their respective Maturing Bonds subject to a minimum subscription of €2,000. Furthermore, holders of the Maturing Bonds, and subject to availability, were given a preference for allocation to any additional New SFC Bonds applied for. The Company will be allocating 16.7% of the remaining balance of all such applications. All amounts being allocated have been rounded to the nearest integral number of the €100 nominal value of the New SFC Bonds.

Interest on the New SFC Bonds will commence on 13 September 2017.

The dispatch of allotment advices and refunds of unallocated monies, where applicable, will be made on 14 September 2017.

The New SFC Bonds are expected to be admitted to listing on the Official List of the Malta Stock Exchange on 18 September 2017 and trading is expected to commence on 19 September 2017.

The Board of Directors would like to thank the Company’s bondholders and the participating authorised financial intermediaries for their support shown in this New SFC Bond issue.
